Welcome to Sorn.ai (“we”, “us”, “our”, “Sorn.ai”). These Terms of Service (“Terms”) govern your access to and use of the website located at www.sorn.ai and all associated online services, tools, features, applications, and content (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree with these Terms, you must not use the Service.

If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

8. User Content

If you submit any content for publication, integration, or sharing through the Service (“User Content”):

  • You grant Sorn.ai a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, distribute, and display the User Content solely for the purpose of providing and improving the Service; and
  • You represent and warrant that you own or have the necessary rights to the User Content and that it does not infringe any third party rights.

9. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and disclose information about you. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SORN.AI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SORN.AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SORN.AI’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SORN.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Sorn.ai and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of any rights of another party.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Sorn.ai is incorporated, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms will be resolved in the competent courts of that jurisdiction.

13. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and without notice. Upon termination, all rights granted to you under these Terms will immediately cease.

14. Entire Agreement

These Terms, together with any agreements referenced herein and the Privacy Policy, constitute the entire agreement between you and Sorn.ai regarding the Service.
